Introduction
Welcome to Rizpay (“we,” “our,” or “us”). By accessing or using the Rizpay platform (the “Platform”)—including our website, web app, mobile app(s), and any related services (collectively, the “Services”)—you agree to be bound by these Terms of Service (“Terms”). Please read them carefully before using our Services.
These Terms form a legally binding agreement between you and Rizpay Digital Solutions (Business Name Registration No. 8072717). If you do not accept these Terms, you must discontinue using our Services.
1. Eligibility & Account Creation

Minimum Age:
- You must be at least 18 years old to create an account and use Rizpay’s Services.
- Users under 18 cannot create or operate an account without verifiable parental or guardian consent, and in practice, Rizpay’s system restricts most features (e.g., opening virtual accounts) to users 18+.

User Registration & Security:
- You register using your phone number, email, and a secure password.
- You must provide accurate information. Certain features (like a virtual bank account) require additional verification (e.g., BVN, NIN).
- One Account Per User: Multiple accounts per single individual are not allowed.
- Password resets are done via your verified email. You are responsible for all activity on your account.
- Security: We store only hashed/encrypted passwords. You must promptly notify us of any unauthorized use or breach of security of your account.

Identification & KYC:
- Where required by law or our risk policies, you may be asked to upload a government-issued ID and/or provide BVN, NIN, or other details for verification. Failure to comply may limit or restrict your access to certain Services.
2. Services & Transactions

Scope of Services:
- Rizpay provides digital bill payment solutions, including airtime purchase, data plan subscriptions, electricity bill payments, and cable TV subscriptions in Nigeria.
- We may add or remove services in the future.

Third-Party Involvement:
- Some transactions are facilitated by or rely on third-party gateways, payment processors, or service providers (e.g., distribution networks for airtime, data, or TV subscriptions).
- Downtime / Errors: We are not liable for downtime or outages caused by third-party providers, nor for issues with their product delivery systems.
- Limited Licenses: Rizpay is not currently licensed to offer money transfer or other banking/financial products beyond bill payments and basic wallet funding. Future expansion is subject to acquiring appropriate licenses.

Payment Methods & Fees:
- Accepted Methods: Users may fund their Rizpay wallet via bank transfer only (for now).
- Transaction Fees: Certain transactions may incur fees or commissions. These fees are displayed in the dashboard (web) and the “Add Money” screen (mobile).
- Fee Changes: We reserve the right to modify fees at any time. Notice of changes will be provided via in-app or website banner.

Disclaimer of Certain Transactions:
- We do not bear responsibility if a user enters the wrong phone number, meter number, or account information. Delivered purchases to an incorrect destination or service ID are the user’s responsibility and cannot be refunded.
3. Prohibited Activities

Illegal or Fraudulent Transactions:
- Users may not use Rizpay for money laundering, fraudulent actions, financing terrorism, or any illegal activity.
- The use of stolen payment credentials or any unauthorized method of funding is strictly forbidden.

Account Suspension:
- We reserve the right to suspend or terminate accounts engaged in prohibited activities or otherwise violating these Terms.
- If an account is flagged for suspected fraud, it will remain suspended pending investigation.

- If you believe your account was wrongfully suspended or terminated, you may contact us via support@rizpay.app or +234 816 775 6166 to request a review.
4. Termination & Modifications

Termination by Rizpay:
- We may suspend or terminate your account immediately if you breach these Terms or engage in suspected fraudulent activity.

Termination by User:
- You may close your account at any time by contacting support. Be sure to withdraw or use any wallet balance before closure.

Modifications:
- Rizpay may modify these Terms from time to time. We will provide notice of material changes via an in-app or website banner. Your continued use of the Platform after the notice period constitutes acceptance of the updated Terms.
5. Intellectual Property

Ownership:
- All rights, title, and interest in and to the Rizpay brand, logo, website contents, mobile app design, and any other proprietary materials belong exclusively to Rizpay or its licensors.

Limited License to Users:
- We grant you a non-exclusive, non-transferable, revocable license to use our Services for personal, non-commercial use in compliance with these Terms.

User-Generated Content:
- If you provide feedback, suggestions, or other content, you grant Rizpay a worldwide, royalty-free license to use, modify, and incorporate it into our Services.
6. Disclaimer of Warranties & Limitation of Liability

Warranty Disclaimer:
- Our Services are provided “as is” and “as available,” without warranty of any kind. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

Third-Party Services:
- Rizpay is not liable for delays, errors, or failures by third-party providers. All disclaimers, limitations of liability, and indemnity provisions survive termination of these Terms.

Limitation of Liability:
- To the fullest extent permitted by law, Rizpay shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.
- Our maximum aggregate liability for any claim shall not exceed the amount of fees you paid to Rizpay for the relevant transaction(s) in the 3 months preceding the event giving rise to liability.
7. Governing Law & Dispute Resolution

Governing Law:
- These Terms are governed by the laws of the Federal Republic of Nigeria.

Arbitration:
- Any dispute arising out of or relating to these Terms shall be settled by arbitration in Nigeria.
- You agree to first attempt informal resolution by contacting us. If not resolved, disputes will be referred to an arbitrator mutually agreed upon, per Nigerian arbitration laws.
- Nothing restricts either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
